Terms of Service

1. Introduction
Welcome to Syncflux. These Terms of Service ("Terms") govern your use of our software development services. By engaging our services, you agree to be bound by these Terms. Syncflux is a software development agency with an in-house team of developers. We are not a freelancer marketplace or staffing agency—all work is performed by our employed team members.
2. Services Description
Syncflux provides fixed-price custom software development services, including but not limited to:
- Website development
- Web application development
- Mobile application development
- API development and integrations
- Custom software solutions
- Maintenance and support packages
The specific deliverables, timeline, and scope for each project are defined in the individual service agreement or project confirmation provided to you before work begins.
3. Ordering and Payment
Fixed-Price Model: All services are offered at fixed prices as displayed on our website or as quoted in custom proposals. The price you see or receive in a quote is the final price—no hourly rates, no hidden fees.
Payment Structure: For fixed-price projects, payment is split into two installments:
- 50% upfront – Due before work begins. No work will commence until this initial payment is received.
- 50% before final delivery – Due before receiving the completed project. You will receive a payment link or payment information before this amount is due.
Payment Methods: We accept major credit cards and bank transfers.
Cancellation: You may cancel your order within 48 hours of project confirmation for a full refund, provided work has not yet begun. After 48 hours or once work has started, our Refund Policy applies.
4. Delivery and Acceptance
Delivery Timeline: Estimated delivery timelines are provided for each service. While we strive to meet all deadlines, timelines may be adjusted if you request changes or fail to provide required materials in a timely manner.
Review Period: Upon delivery, you will have a review period to test and evaluate the deliverables. During this period, you may request revisions according to your service package.
Acceptance: The project is considered accepted when you provide explicit written approval, or after 14 days from delivery if no feedback or revision requests are received. Once accepted, the project is considered complete.
5. Revisions Policy
Included Revisions: Each service package includes 2 rounds of revisions by default. Custom quotes will specify the number of included revisions.
What Constitutes a Revision: A revision is an adjustment or refinement to the delivered work within the original project scope. This includes fixing bugs, adjusting layouts, changing colors, updating copy, or making minor functional adjustments as specified in the original requirements.
What is NOT a Revision:
- Complete software rewrites or rebuilding the project from scratch
- Entirely new features that were not discussed or included in the original scope
- Fundamental changes to the project direction or purpose
- Significant scope expansions beyond what was originally agreed
Our Rights: Syncflux reserves the right to:
- Decline revision requests that constitute new features or significant scope changes
- Charge additional fees for out-of-scope revision requests
- Reclassify revision requests as new projects if the scope has shifted significantly
Extended Revisions: Additional revision rounds can be purchased through our revision packages. Contact us for pricing.
After Revisions Are Exhausted: Once all included revision rounds have been used, the software is delivered "as is." Any further modifications are at Syncflux's sole discretion and may be subject to additional charges.
6. Post-Delivery Support
After Final Acceptance: Once you have accepted the final delivery, all subsequent changes, modifications, or fixes—including bug fixes—are considered new work and are subject to additional charges.
No Implied Ongoing Support: Unless you have purchased a maintenance package, there is no implied warranty of ongoing free support, updates, or bug fixes after project acceptance.
Maintenance Packages: We offer maintenance packages for ongoing support, security updates, and bug fixes. These are available as separate services and can be discussed after project completion.
7. Intellectual Property
Full IP Transfer: Upon full payment, you receive complete ownership of all custom code, designs, and assets created specifically for your project. This includes source code, design files, and documentation.
Third-Party Components: Your project may include third-party libraries, frameworks, or components. These remain under their respective open-source or commercial licenses. We will provide a list of third-party dependencies upon request.
Portfolio Rights: Syncflux retains a non-exclusive right to display the work in our portfolio and marketing materials, unless you have signed a Non-Disclosure Agreement (NDA) that restricts this.
8. Limitation of Liability
Software Built to Specifications: We develop software based on the requirements and specifications you provide. The final product reflects your instructions and decisions made during the development process.
Syncflux is NOT Liable For:
- Any direct, indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the delivered software
- Lost profits, lost revenue, lost data, business interruption, or any other commercial damages
- Claims made by third parties against you related to the software
- Issues arising from modifications made by you or third parties after delivery
- Integration issues with your existing systems, third-party services, or infrastructure not included in the original scope
- Damages resulting from misuse, improper operation, or use contrary to documentation or intended purpose
Liability Cap: In any event, Syncflux's total liability shall not exceed the amount you paid for the specific service giving rise to the claim.
"As Is" Delivery: Software is delivered "as is" after the revision process is complete. We make no guarantees about the software's suitability for any particular purpose beyond the agreed specifications.
9. Warranty Disclaimer
No Warranties: Except as expressly stated in these Terms, Syncflux disclaims all warranties, express or implied, including but not limited to:
- Implied warranties of merchantability
- Implied warranties of fitness for a particular purpose
- Warranties of non-infringement
Performance: We warrant that the software will perform according to the agreed specifications at the time of delivery. This warranty does not extend to issues arising from external factors, third-party services, or changes to your environment.
Client Testing: You are responsible for thoroughly testing the deliverables during the acceptance period. Issues discovered after acceptance are not covered under any warranty.
10. Client Responsibilities
By engaging our services, you agree to:
- Provide accurate and complete project requirements and specifications
- Provide timely feedback during development and review periods
- Provide all necessary materials, access credentials, and information required for the project
- Thoroughly test deliverables during the acceptance period
- Maintain your own data backups—we are not responsible for data loss on your systems
- Ensure that the software's intended use complies with all applicable laws and regulations
11. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes business plans, technical specifications, and any information marked as confidential.
NDA: For projects requiring additional confidentiality protections, we offer separate Non-Disclosure Agreements upon request.
12. Termination
Termination by Client: You may terminate the engagement at any time with written notice. You will be responsible for payment of all work completed up to the termination date.
Termination by Syncflux: We may terminate the engagement if you breach these Terms, fail to make required payments, or if continuing the project becomes impractical due to circumstances beyond our control.
Upon Termination: All outstanding payments become due immediately. Work completed up to the termination date will be delivered to you.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of Germany. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Germany.
EU Consumer Rights: If you are a consumer in the European Union, you retain all mandatory consumer protection rights provided by the laws of your country of residence.
14. Changes to These Terms
Syncflux reserves the right to update these Terms at any time. Material changes will be communicated via email or prominently displayed on our website.
Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.
